What a holder actually owns

You holdBeneficiary of a trust over the underlying
The Issuer holds its interest in the Underlying in its capacity as trustee for the benefit of the Certificate holders. Each Certificate holder has an individual entitlement, in the form of a beneficial interest in the Certificates representing the Underlying on a 1:1 basis, as recorded in the CSD Master Ledger maintained by Binance NCCL as CSD. The Custodian is not a party to this trust arrangement. [Section 15.2, Legal and beneficial ownership of the Underlying] A Certificate does not provide the holder with any of the same legal and beneficial ownership rights as the Shares (i.e., the common equity stock that is traded under ticker symbol NVDA on the Regulated Exchange). You do not own the share. The issuer holds it and states it does so on trust for holders, so on the issuer's failure the share is intended to sit outside its estate rather than being shared with its creditors. Your route to it still runs through the issuer's own redemption process.

DividendsDividends are reinvested into the underlying
Cash dividends received on Underlying held in custody are reinvested by the Issuer into additional shares of Underlying (net of a 30% U.S. withholding tax on dividends applicable to non-U.S. holders). The reinvestment is reflected through an adjustment to the Multiplier so that Certificate balances increase proportionally. Holders do not receive cash dividends directly. [Section 3.2]

VotingNo voting rights
Holders of Certificates do not have voting rights in respect of the Underlying. The Issuer holds a beneficial interest in the Underlying through the Issuer's Segregated Custody Account with the Custodian and has disclaimed any voting rights in the Underlying. [Section 21.6]
